Terms of Service

1. Acceptance of Terms
By accessing or using AI Team OS (the “Service”), operated by Digital Central Pty Ltd (“we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these Terms, you may not access the Service. These Terms constitute a legally binding agreement between you and Digital Central Pty Ltd.
We may update these Terms from time to time. Material changes will be communicated via email to the address associated with your account. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
2. Description of Service
AI Team OS provides managed, always-on cloud instances for running OpenClaw — an open-source AI agent framework. Our Service includes:
- Provisioning and managing dedicated cloud instances (virtual private servers) on your behalf
- Pre-installing and configuring the OpenClaw framework and its dependencies
- Automated software updates and security patches for the managed environment
- AI message credits for powering your agent's conversations (via OpenRouter)
- Telegram bot integration and channel connectivity
- SSH access to your dedicated server (key-based authentication)
- Technical support through email and other channels as made available
OpenClaw is open-source software governed by its own license (MIT). You are responsible for complying with that license. We do not control or take responsibility for the outputs, configurations, or third-party integrations you choose to run on your instance.
3. Eligibility
The Service is intended for users who are at least 18 years of age, or the age of legal majority in their jurisdiction, whichever is greater. By using the Service, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
4. Account Registration & Security
To access the Service, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Keep your account information up-to-date
- Use a strong, unique password that you do not use on other services
- Not share your account credentials with any third party
- Immediately notify us at digital@central.sc if you suspect unauthorized use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to disable any account at any time if, in our opinion, you have violated any provision of these Terms.
5. Payment & Billing
5.1 Subscription Plans
The Service is offered on a subscription basis with monthly or yearly billing. Your plan includes a dedicated server, AI message credits, and all features as described on our pricing page.
5.2 Payment Processing
All payments are processed securely through Polar.sh and Stripe. By providing your payment information, you authorize us to charge the applicable fees to your payment method. All fees are listed in US Dollars (USD). You are responsible for any taxes applicable to your purchase.
5.3 Recurring Billing
Subscriptions automatically renew at the end of each billing period unless cancelled. You authorize us to charge your payment method at the start of each billing cycle. Failed payments may result in service suspension after a 7-day grace period.
6. AI Messages & Credits
Each plan includes a monthly allocation of AI credits for powering your agent's conversations:
- AI Team OS: $10/month in AI credits via OpenRouter, plus Bring Your Own Keys (BYOK) for unlimited usage
Credit limits reset monthly. Unused credits do not roll over between billing periods. When credits are exhausted, your agent will stop responding until the next billing cycle or until you add your own API keys via BYOK (available on all plans). Actual message counts vary based on conversation complexity and the AI model used.
7. Bring Your Own Keys (BYOK)
All plans support Bring Your Own Keys (BYOK), allowing you to use your own AI provider API keys (e.g., Anthropic, OpenAI) for unlimited usage beyond the included credits. When using BYOK:
- You are solely responsible for the security and management of your own API keys
- API key costs are billed directly by the respective AI provider, not by us
- We are not liable for charges incurred on your own API keys
- Your keys are stored on your dedicated server only — we do not access, log, or share them
- You must comply with the terms of service of any third-party AI provider whose keys you use
8. Cancellation
You can cancel your subscription at any time through the billing portal. Service continues until the end of the current billing period. Upon cancellation:
- Your server will remain accessible until the end of the paid period
- You may request a data export via SSH before your server is decommissioned
- Your server and all data on it will be permanently deleted within 30 days after the paid period ends
- OpenRouter API keys provisioned for your account will be revoked
9. Refunds
Refunds are handled on a case-by-case basis. If you experience service issues that we cannot resolve within a reasonable timeframe, contact us at digital@central.sc for refund consideration. Refund requests must be made within 14 days of the charge. Yearly subscription refunds will be prorated based on months of service used.
10. Acceptable Use
You agree not to use the Service for:
- Any illegal activities or to facilitate illegal activities
- Generating harmful, abusive, threatening, or deceptive content
- Sending spam or unsolicited messages
- Attempting to access other users' servers or data
- Reselling the service without written authorization
- Running cryptocurrency mining or other resource-intensive processes unrelated to AI agents
- Activities that violate the terms of service of AI providers (Anthropic, OpenAI, etc.)
- Circumventing usage limits, rate limits, or security controls
Violation of these terms may result in immediate service termination without refund.
11. AI-Generated Content Disclaimer
Your AI agent generates content using third-party AI models (e.g., Claude by Anthropic, GPT by OpenAI, etc.). We do not control, review, or take responsibility for AI-generated outputs. You acknowledge that:
- AI-generated content may be inaccurate, incomplete, or misleading
- You are solely responsible for reviewing and verifying any AI-generated content before relying on it
- AI-generated content should not be used as a substitute for professional advice (legal, medical, financial, etc.)
- We are not liable for any decisions made or actions taken based on AI-generated content
- You are responsible for ensuring that your use of AI-generated content complies with applicable laws
12. Service Availability
We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. We are not responsible for downtime caused by third-party providers (Hetzner, OpenRouter, Telegram, Cloudflare) or events outside our reasonable control.
13. Limitation of Liability
To the maximum extent permitted by law, Digital Central Pty Ltd is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:
- Data loss or corruption
- Service interruptions or downtime
- Third-party API failures or changes
- AI-generated content that is inaccurate, harmful, or inappropriate
- Unauthorized access to your server resulting from compromised credentials
- Loss of revenue or business opportunities
Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.
14. Intellectual Property
AI Team OS is built on OpenClaw, which is open-source software (MIT license). Our service, branding, website design, and proprietary tools remain the property of Digital Central Pty Ltd. Content generated by your AI agent belongs to you, subject to the terms of the underlying AI provider.
15. Third-Party Services
The Service relies on and integrates with third-party services including:
- Hetzner: Server infrastructure (EU data centers)
- OpenRouter: AI model routing and credit management
- Telegram: Messaging platform for agent communication
- Polar.sh / Stripe: Payment processing
- Cloudflare: DNS and security services
Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for changes to, outages of, or policy updates by these providers.
16. Affiliate Program
AI Team OS offers an affiliate program through Affonso (affonso.io). By participating in the affiliate program, you agree to:
- Promote AI Team OS honestly and accurately — do not make misleading claims about the Service
- Not use spam, unsolicited messages, or deceptive advertising to promote your referral link
- Not bid on branded keywords (e.g., “AI Team OS”, “aiteamos”) in paid search advertising
- Not self-refer — signing up through your own affiliate link to earn commission is prohibited
- Comply with all applicable advertising disclosure laws (e.g., FTC guidelines) when promoting the Service
Commission rates, payout schedules, and program terms are governed by the Affonso affiliate platform. We reserve the right to modify commission rates, terminate affiliate accounts for violations, or discontinue the program at any time with 30 days' notice. Commissions on refunded or disputed transactions will be reversed.
17. Changes to Terms
We may update these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
18. Governing Law
These Terms are governed by the laws of the Republic of Seychelles. Any disputes shall be resolved through arbitration in Seychelles.
